Terms and Conditions
Please read these Terms and Conditions ('Terms', 'Agreement') carefully before using Eventmhub.com ('Platform', 'Portal', 'Website') operated by Event Material Hub Pvt. Ltd. ('Company', 'we', 'us', 'our'). These Terms govern your access to and use of the Platform. By registering, accessing, browsing, or using any part of this Platform, you ('User', 'you', 'your') acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws of India. If you do not agree to these Terms, please do not use this Platform.
1. Definitions
For the purposes of these Terms, the following definitions apply:

| Buyer | A registered business or individual who searches for, enquires about, or seeks to purchase or procure event material listed on the Platform. |
| Listing | Any advertisement, product entry, inventory item, or catalogue post uploaded by a Seller on the Platform. |
| Subscription Plan | A paid or free membership tier purchased by a User to access specific features of the Platform.EMH can change subscription charges anytime, subject to company’s jurisdiction.If any Foreign Subscriber makes a Payment, they also need to submit Tec receipt. |
| Transaction | Any deal, sale or purchase of event material that arises from connections made through the Platform. |
| Event Material | All tangible goods used in the event industry including but not limited to furniture, AV equipment, lighting rigs, staging, fabrication material, tents, decor, exhibition stalls, and allied items. |
| Content | All text, images, videos, documents, data, listings, descriptions, prices, and other information uploaded or submitted by Users. |

2. Acceptance of Terms
2.1 Binding Agreement
These Terms constitute a legally binding agreement between you and the Company. Your use of the Platform constitutes your unconditional acceptance of these Terms, our Privacy Policy, and any other policies published on the Platform.
2.2 Eligibility
By using this Platform, you represent and warrant that:
- You are at least 18 years of age.
- You have the legal capacity and authority to enter into binding contracts under Indian law.
- If registering on behalf of a company or business entity, you have the authority to bind that entity to these Terms.
- You are not barred from using the Platform under any applicable law or regulation.
- Your use of the Platform does not violate any applicable laws of India including but not limited to the Information Technology Act, 2000, the Contract Act, 1872, and the Consumer Protection Act, 2019.
2.3 Amendments
The Company reserves the right to modify, update, or replace these Terms at any time without prior notice. The revised Terms will be posted on the Platform with an updated 'Last Updated' date. Continued use of the Platform after any modification constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
3. Nature of the Platform
3.1 Intermediary Status
Eventmhub.com is a B2B (Business-to-Business) online marketplace and intermediary platform as defined under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 under the Information Technology Act, 2000. The Company acts solely as a technology platform that facilitates connections between Sellers and Buyers of event material. The Company is NOT a party to any transaction, agreement, or deal concluded between Users.
3.2 Zero Commission Policy
The Platform operates on a subscription-based revenue model. The Company does not charge any commission, brokerage, or transaction fee on deals or sales made between Sellers and Buyers. The Company has no role in, knowledge of, or control over the pricing, negotiation, payment terms, or execution of any transaction between Users.
3.3 No Verification of Transactions
The Company does not verify, guarantee, authenticate, or take responsibility for the quality, quantity, price, legality, safety, authenticity, or fitness of any event material listed on the Platform. All transactions are strictly between the Seller and the Buyer at their own risk and discretion.
3.4 No Auction or Bidding
The Platform is a listing and enquiry platform only. It does not facilitate auctions, reverse auctions, bidding, or any automated price discovery mechanism. All pricing and negotiations happen directly between the Seller and Buyer outside the Platform.
3.5 No Responsibility for Delivery, Logistics & Material Condition
IMPORTANT — Please read this clause carefully before using the Platform.
Eventmhub.com is exclusively an enquiry and listing facilitation platform. The Company's role ends at connecting a Buyer with a Seller through a listing enquiry. All activities that occur after the enquiry — including but not limited to negotiation, agreement, payment, packaging, transportation, logistics, delivery, installation, inspection, and post-sale support — are entirely the responsibility of the Seller and Buyer involved in the transaction.
Specifically, the Company makes absolutely no representation, warranty, or commitment regarding:
- DELIVERY: The Company is not responsible for the delivery, transportation, shipping, loading, unloading, or logistics of any event material listed on the Platform. Delivery timelines, costs, methods, and arrangements are solely between the Seller and Buyer.
- MATERIAL CONDITION: The Company does not inspect, verify, certify, or guarantee the physical condition, quality, functionality, safety, or fitness for use of any event material listed on the Platform. All condition descriptions in Listings are self-declared by the Seller.
- NEW MATERIAL: Even where a Listing describes material as 'new', the Company makes no warranty regarding its newness, authenticity, or conformity to any standard. Buyers must independently verify the condition before purchase.
- USED MATERIAL: For used or pre-owned event material, the Company expressly disclaims any responsibility for defects, wear and tear, missing parts, reduced performance, or any condition that arises from prior use.
- PHOTOGRAPHS & DESCRIPTIONS: Images and descriptions in Listings are uploaded solely by Sellers. The Company does not verify that photographs accurately represent the actual material. Buyers are strongly advised to physically inspect material before finalizing any deal.
- DAMAGE IN TRANSIT: Any damage, loss, or deterioration of material during transportation or delivery is entirely between the Seller and Buyer and the relevant logistics provider. The Company bears no liability whatsoever for such occurrences.
- NON-DELIVERY: If a Seller fails to deliver material after a deal is agreed upon, the Company bears no responsibility for such non-delivery and cannot compel any Seller to fulfill their obligation. Buyers must seek legal remedies independently.
- QUANTITY DISCREPANCIES: The Company is not responsible if the quantity of material received by a Buyer differs from the quantity described in the Listing.
3.6 Buyer's Duty of Inspection
It is strongly recommended that all Buyers:
- Physically inspect the event material at the Seller's premises or a mutually agreed location before making any payment or commitment.
- Request a live video inspection if physical inspection is not possible due to distance.
- Obtain a written confirmation of material condition, quantity, and specifications from the Seller before finalizing the transaction.
- Arrange independent logistics and transit insurance for high-value material shipments.
- Never make full advance payment to a Seller without adequate verification and documentation.
The Company strongly discourages Buyers from relying solely on Listing photographs and descriptions as the basis for a purchasing decision. Physical or video verification is always recommended.
4. User Registration & Account
4.1 Registration Requirement
To access full features of the Platform, Users must create an account by providing accurate, complete, and current information including business name, contact details, city, business type, and a valid email address and mobile number.
4.2 Account Accuracy
You agree to:
- Provide true, accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate and current.
- Maintain the confidentiality of your login credentials (username and password).
- Notify the Company immediately at support@eventmhub.com of any unauthorized use of your account or any breach of security.
- Accept full responsibility for all activity that occurs under your account.
4.3 One Account Per Entity
Each business entity or individual may maintain only one active account on the Platform. Creating duplicate accounts to circumvent subscription limits, penalties, or bans is strictly prohibited and grounds for immediate termination.
4.4 Account Suspension & Termination
The Company reserves the right to suspend, restrict, or permanently terminate any account at its sole discretion, with or without notice, for reasons including but not limited to: violation of these Terms, fraudulent activity, abuse of the Platform, uploading prohibited content, or any conduct deemed harmful to other Users or the Platform.
4.5 No Transfer of Account
User accounts are personal and non-transferable. You may not sell, transfer, assign, or sub-license your account or any rights thereunder to any third party.
5. Subscription Payment
5.1 Payment Terms
- All subscription fees are payable in Indian Rupees (INR) in advance.
- Payments are processed through third-party payment gateways. The Company does not store card or bank account details.
- Annual plans are billed once yearly. Monthly plans are billed every 30 days from the date of subscription.
- Subscriptions renew automatically unless cancelled by the User at least 7 days before the renewal date.
- All prices are exclusive of applicable taxes (GST). GST will be charged additionally as per prevailing rates.
5.2 Refund Policy
- Annual subscription fees are non-refundable once activated, except in cases of demonstrable technical failure by the Platform.
- Monthly subscriptions are non-refundable for the current billing cycle. Users may cancel to prevent the next renewal.
- Refund requests must be submitted in writing to support@eventmhub.com within 7 days of the charge date with valid justification.
- The Company will evaluate refund claims at its sole discretion and may offer platform credits in lieu of cash refunds.
- No refunds will be issued for unused days within an active subscription period.
5.3 Plan Upgrades & Downgrades
Users may upgrade their subscription plan at any time. Upgrade charges will be prorated for the remaining billing period. Downgrades take effect from the next billing cycle. Downgrading may result in loss of access to features and listings that exceed the lower plan's limits.
5.4 Add-on Services
The Platform may offer additional paid services including Listing Spotlight, Homepage Banner, Verified Badge, Catalogue Design, and WhatsApp Broadcast services. These are governed by the same payment and refund terms above unless separately specified.
5.5 Non-Payment
Failure to pay subscription fees on the due date will result in automatic downgrade to the free Starter plan or suspension of the account. The Company reserves the right to remove listings and restrict access until outstanding dues are cleared.
6. Seller Obligations & Listing Standards
6.1 Seller Eligibility
Only registered businesses, proprietorships, partnerships, LLPs, or companies operating in India and dealing in event material may register as Sellers. The Company reserves the right to verify business credentials before approving Seller accounts.
6.2 Listing Accuracy
Sellers are solely responsible for the accuracy, completeness, and legality of their Listings. Each Listing must include:
- An accurate description of the material including type, brand, quantity, dimensions, and condition (new/used).
- Clear, high-resolution photographs of the actual material (minimum 2 images per listing).
- Accurate pricing or indicative price range.
- City and state of location of the material.
- Valid contact details for direct enquiry.
6.3 Prohibited Listings
The following categories of listings are strictly prohibited on the Platform:
- Counterfeit, stolen, or illegally obtained goods.
- Items that are the subject of any legal dispute, court order, or encumbrance.
- Goods whose sale is restricted or prohibited under any Indian law.
- Hazardous, unsafe, or defective equipment without appropriate disclosure.
- Non-event-related products, services, or advertisements.
- Duplicate listings of the same item across multiple listing entries.
- Listings with misleading prices (bait pricing), fake availability, or false condition claims.
- Personal / consumer goods not intended for commercial event use.
6.4 Pricing Responsibility
Sellers set their own prices independently. The Company does not mandate, regulate, or suggest prices. Any price displayed on the Platform is solely the Seller's determination and may be negotiated directly between the Seller and the Buyer.
6.5 Seller Conduct
Sellers agree to:
- Respond to genuine buyer enquiries in a timely and professional manner.
- Not mislead Buyers about the condition, availability, or specifications of listed material.
- Not collect any advance payment or deposit from Buyers using the Platform's name or authority.
- Comply with all applicable laws regarding sale of goods, GST invoicing, and commercial transactions.
- Not list material that has already been sold or is no longer available.
6.6 Right to Remove Listings
The Company reserves the right to remove, reject, edit, or delist any Listing at its sole discretion without notice if it violates these Terms, is found to be fraudulent, misleading, or inappropriate, or if a complaint is received from another User.
7. Buyer Obligations
7.1 Due Diligence
Buyers are solely responsible for conducting their own due diligence before transacting with any Seller. The Company strongly recommends that Buyers:
- Physically inspect the material before finalizing any deal.
- Verify the Seller's credentials and business legitimacy independently.
- Request GST invoices and proper documentation for all purchases.
- Never make advance payments without adequate verification and documentation.
- Use formal purchase orders and written agreements for high-value transactions.
7.2 No Misuse of Seller Information
Buyer contact details of Sellers obtained through the Platform must be used only for legitimate business enquiries. Buyers must not use Seller data for spam, marketing, solicitation, or any purpose unrelated to the genuine procurement of event material listed on the Platform.
7.3 Accurate Enquiries
Buyers must submit genuine enquiries only. Submitting fake enquiries, testing the system with fictitious requests, or using enquiry forms for non-procurement purposes is prohibited.
8. Prohibited Conduct & Use
The following conduct is strictly prohibited for all Users:
- Uploading false, misleading, defamatory, or fraudulent content.
- Using automated bots, crawlers, scrapers, or scripts to access or extract data from the Platform.
- Reverse engineering, decompiling, or attempting to derive the source code of the Platform.
- Using the Platform to conduct or facilitate fraud, scam, or deceptive trade practice.
- Posting or transmitting any content that infringes intellectual property rights of any third party.
- Circumventing subscription limits by creating multiple accounts.
- Interfering with, disabling, or overloading the Platform's infrastructure, servers, or networks.
- Harvesting, mining, or collecting personal data of other Users without consent.
- Impersonating another business, person, or entity on the Platform.
- Transmitting viruses, malware, ransomware, or any other harmful code via the Platform.
- Using the Platform to publish or share content that is obscene, defamatory, abusive, racially discriminatory, or violates any law.
- Listing material that belongs to a third party without their authorization or legal right to sell.
- Using the Platform's infrastructure to send unsolicited communications (spam) to other Users.
- Engaging in any conduct that could damage the reputation of the Platform or other Users.
9. Intellectual Property
9.1 Company IP
All intellectual property on the Platform including but not limited to the EMH brand name, logo, trademark, trade name, website design, interface layout, proprietary software, databases, and all original content created by the Company is the exclusive property of Event Material Hub Pvt. Ltd. and is protected under the Trade Marks Act, 1999, the Copyright Act, 1957, and other applicable Indian IP laws. No User may copy, reproduce, distribute, modify, display, or create derivative works of any Company IP without prior written consent.
9.2 User Content — License Grant
By uploading any Content (listings, images, descriptions, logos, videos) to the Platform, you grant the Company a non-exclusive, royalty-free, worldwide, perpetual license to use, host, display, distribute, reproduce, and adapt your Content solely for the purposes of operating and promoting the Platform. This license does not transfer ownership of your Content to the Company.
9.3 User Content — Warranties
You represent and warrant that:
- You own all rights to the Content you upload or have obtained all necessary permissions and licenses.
- Your Content does not infringe any third party's copyright, trademark, trade secret, or other intellectual property rights.
- Your Content does not violate any applicable law or regulation.
9.4 Takedown Requests
If you believe that any Content on the Platform infringes your intellectual property rights, please send a written notice to info@eventmhub.com with full details of the alleged infringement. The Company will evaluate and respond to such requests within a reasonable timeframe as per applicable law.
10. Disclaimer of Warranties
10.1 Platform Provided 'As Is'
The Platform is provided on an 'AS IS' and 'AS AVAILABLE' basis without any warranty of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or continuous availability.
10.2 No Warranty on Listings, Delivery & Material Condition
The Company makes no warranty or representation regarding: (a) the accuracy, truthfulness, completeness, or reliability of any Listing or User Content; (b) the quality, physical condition, safety, or fitness for use of any event material listed — whether described as new or used; (c) the identity, creditworthiness, or legal standing of any Seller or Buyer; (d) the ability of any Seller to complete a transaction or deliver material; (e) the ability of any Buyer to make payment; or (f) the delivery, logistics, transit safety, or post-deal execution of any transaction. Please refer to Section 3.5 which contains the full disclaimer on delivery and material condition. That Section forms an integral part of these Disclaimers.
10.3 No Warranty on Uptime
The Company does not guarantee that the Platform will be available continuously, uninterrupted, error-free, or free from viruses or harmful components. Scheduled and unscheduled downtime may occur. The Company shall not be liable for any loss arising from Platform unavailability.
10.4 Third Party Links
The Platform may contain links to third-party websites, payment gateways, or services. The Company has no control over such third-party services and is not responsible for their content, privacy practices, or terms.
11. Limitation of Liability
11.1 General Limitation
To the maximum extent permitted by applicable Indian law, the Company, its directors, officers, employees, partners, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to:
- Your use of or inability to use the Platform.
- Any transaction, deal, or dispute between Sellers and Buyers.
- Any unauthorized access to or alteration of your data or transmissions.
- Any error, omission, interruption, deletion, or defect in the operation of the Platform.
- Any loss of goods, money, profit, or business arising from a transaction facilitated through the Platform.
- Any conduct or content of any third party on or through the Platform.
11.2 Maximum Liability Cap
In any event, the Company's total aggregate liability to any User for all claims arising under or related to these Terms shall not exceed the total amount of subscription fees paid by that User to the Company in the twelve (12) months immediately preceding the claim.
11.3 Essential Basis
You acknowledge that the limitations of liability in this Section 11 reflect a reasonable allocation of risk and form an essential basis of the bargain between you and the Company. The Platform would not be provided without such limitations.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, partners, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms or any applicable law.
- Any Content you upload to the Platform.
- Any transaction or dispute between you and any other User.
- Your negligence, fraud, or willful misconduct.
- Any claim that your Content infringes the intellectual property rights of a third party.
13. Dispute Resolution Between Users
13.1 Company Not a Party
The Company is not a party to any dispute between Sellers and Buyers. All disputes related to product quality, payment, delivery, transaction terms, or any matter arising out of a deal must be resolved directly between the parties concerned.
13.2 Grievance Reporting
If a User engages in fraudulent, abusive, or illegal conduct on the Platform, other affected Users may report such conduct to the Company's Grievance Officer. The Company will investigate reported complaints and may suspend or terminate accounts involved in verified misconduct. However, the Company does not have the authority or obligation to adjudicate financial disputes or compel any party to perform or compensate.
13.3 Platform Disputes
Any dispute between a User and the Company regarding subscription charges, account access, or Platform policies shall first be addressed through the Company's grievance mechanism (Section 17 below). If unresolved, such disputes shall be subject to arbitration as set out in Section 18.
14. Termination
14.1 Termination by User
Users may terminate their account at any time by submitting a written request to support@eventmhub.com. Account termination does not entitle the User to any refund of subscription fees already paid. All Listings will be removed from the Platform upon account termination.
14.2 Termination by Company
The Company may terminate or suspend any User account immediately and without notice for:
- Breach of any provision of these Terms.
- Engaging in fraudulent, abusive, or illegal activity.
- Uploading prohibited content.
- Failure to pay subscription fees.
- Any conduct that the Company, in its sole discretion, considers harmful to other Users, the Platform, or the Company's reputation.
14.3 Effect of Termination
Upon termination: (a) all licenses granted to you under these Terms will immediately cease; (b) all your Listings will be removed; (c) your access to the Platform will be disabled; (d) any pending subscription period will be forfeited without refund; (e) provisions that by their nature should survive termination (including Sections 9, 10, 11, 12, 18, 19) shall continue to apply.
15. Force Majeure
The Company shall not be liable for any delay or failure in performance of the Platform resulting from events beyond its reasonable control including but not limited to: acts of God, natural disasters, epidemics or pandemics, government action, internet service disruptions, cyberattacks, strikes, power outages, or any other event that constitutes force majeure under Indian law. The Company will use commercially reasonable efforts to restore service as soon as practicable.
16. Electronic Communications & Consent
By creating an account on the Platform, you consent to receive electronic communications from the Company including but not limited to: service announcements, subscription invoices, account notifications, system alerts, promotional emails, WhatsApp messages, and SMS communications. You may opt out of promotional communications at any time by using the 'Unsubscribe' option or contacting us, but you may not opt out of transactional or legal notices related to your account.

- The Grievance Officer will acknowledge receipt within 24 hours and resolve complaints within 30 days of receipt.
18. Governing Law & Arbitration
18.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
18.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat of arbitration shall be Jaipur, Rajasthan, India. The language of arbitration shall be English.
18.3 Jurisdiction
Subject to the arbitration clause above, the courts at Jaipur, India shall have exclusive jurisdiction over any matter that is not subject to arbitration under these Terms.
19. Miscellaneous
19.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies incorporated herein, constitute the entire agreement between you and the Company regarding the Platform and supersede all prior or contemporaneous understandings.
19.2 Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.
19.3 No Waiver
The Company's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing by the Company.
19.4 Assignment
The Company may assign or transfer its rights and obligations under these Terms to any affiliate or successor entity without your consent. You may not assign your rights or obligations under these Terms without the prior written consent of the Company.
19.5 Headings
Section headings in these Terms are for convenience only and have no legal or contractual effect.
